01Accepting these terms

These Terms of Use govern your access to and use of midnightanvil.com and public subdomains or staging pages operated by Midnight Anvil LLC. By using the website, you agree to these terms. If you do not agree, do not use the website.

If you use the website on behalf of a company, you represent that you are authorized to bind that company to these terms. You must be at least 13 years old to use this site.

02What this website is

The website describes our web development, technical SEO, maintenance, pricing, process, and contact options. It does not create a client relationship, attorney-client relationship, fiduciary relationship, partnership, employment relationship, or guarantee of availability.

Any project, guarantee, deliverable, payment term, ownership term, confidentiality obligation, or support obligation is governed only by a signed Master Services Agreement, Statement of Work, or other written contract between you and Midnight Anvil LLC.

03Project inquiries

You may submit a project brief or contact us through the website. You agree that information you submit is accurate to the best of your knowledge and that you have the right to send it.

Do not send passwords, production credentials, confidential business records, regulated personal data, trade secrets, or sensitive information through a public form before we have a written agreement and secure transfer method in place.

04What you may do

You may read, link to, and share public pages. You may quote short excerpts with attribution. You may take screenshots for internal evaluation, articles, proposals, or vendor review.

For anything broader, including republication, scraping for datasets, syndication, or commercial reuse of substantial parts of the site, ask us first.

05What you may not do

• Attack, scan, overload, or interfere with the website or its providers without written permission.
• Scrape, crawl, or copy the site in a way that ignores robots.txt, rate limits, or ordinary server load.
• Use the forms for spam, recruiting blasts, sales pitches, illegal content, deceptive content, or automated outreach.
• Impersonate Midnight Anvil LLC or suggest endorsement, partnership, certification, or affiliation we have not granted.
• Copy our branding, design, text, or code to create a confusingly similar site or competing representation of the studio.
• Try to access non-public staging pages, credentials, repositories, dashboards, or client materials.

06Intellectual property

The website, wordmark, anvil mark, copy, layout, design system, and other original materials are owned by Midnight Anvil LLC unless marked otherwise. Photographs are licensed from Pexels or other stated sources.

We grant you a limited, revocable, non-exclusive license to view the website for personal or business evaluation. We do not grant a license to copy, resell, or make derivative commercial use of our website or brand.

07Pricing and guarantees

Prices, timelines, availability, and service descriptions on the website are informational and may change. A project price is binding only when stated in a signed agreement. Taxes, third-party software, hosting, ad spend, content production, and unusual integrations may be handled separately if the contract says so.

Any SEO, ranking, traffic, revenue, performance, or timeline guarantee is effective only if included in a signed services agreement and subject to the limits, assumptions, and exclusions in that agreement.

08Privacy and cookies

Our handling of website visitor and inquiry information is described in our Privacy Policy, Cookie Policy, and Privacy Choices page. Those pages are incorporated into these terms by reference.

09Third-party links and services

12Limitation of liability

To the maximum extent permitted by law, Midnight Anvil LLC's total liability arising from or related to your use of the public website will not exceed US$100. This limitation does not govern paid client work. Paid work is governed by the limitation of liability in the signed services agreement.

13Indemnification

You agree to defend and hold Midnight Anvil LLC harmless from third-party claims arising from your misuse of the website, your violation of these terms, your unlawful submissions, or your infringement of someone else's rights. We will provide reasonable notice of any such claim and may participate in the defense at our own expense.

14Governing law and disputes

These terms are governed by the laws of Wyoming, without regard to conflict-of-law rules. Before filing a claim, you agree to email forge@midnightanvil.com and give both sides 30 days to try to resolve the issue informally.

Any lawsuit concerning the public website will be brought in the state or federal courts serving Sheridan County, Wyoming, unless applicable law requires a different venue.

15General terms

Changes

We may update these terms by posting a revised version with a new updated date. Continued use after a change means you accept the revised terms.

Severability

If a provision is unenforceable, the rest of the terms remain in effect.

No waiver

If we do not enforce a provision once, that does not waive our right to enforce it later.

Assignment

You may not assign these terms. We may assign them in connection with a merger, reorganization, acquisition, or sale of assets.
